Chemokine Therapeutics Corp and Chemokine Therapeutics (B.C.) Corp.

December 5, 2008 – On December 5, 2008, Chemokine Therapeutics Corp. (“Chemokine Corp.”) and its subsidiary Chemokine Therapeutics (B.C.) Ltd. (“Chemokine B.C.) each filed a Notice of Intention to make a Proposal (“NOI”).  The filing of the NOI provides Chemokine and Chemokine B.C.  with a stay of proceedings, which does not allow any creditor or party to commence any actions against them.  A copy of the Proposal will be sent to all known creditors, by the Trustee, Deloitte & Touche Inc., once it is filed with our office.

December 24, 2008 - On December 24, 2008, Chemokine Corp. and Chemokine B.C. filed their Proposals with the Trustee, Deloitte & Touche Inc.  The Meeting of Creditors for Chemokine Corp. will take place at 11:15 am PST on Tuesday January 13, 2009.  The Meeting of Creditors for Chemokine B.C will take place at 2:00 pm on Tuesday January 13, 2009.  Both meetings will take place at the offices of Deloitte & Touche Inc., Suite 2800 – 1055 Dunsmuir Street, Vancouver, BC.  Proofs of claim, proxies, and voting letters intended to be used at the meeting must be lodged with us prior to the commencement of the meetings and can be sent via facsimile to the number below to the attention of Steven Maher.

January 13, 2009 – The meetings of creditors for both Chemokine Corp. and Chemokine B.C. were held on January 13, 2009.  At those meetings the Proposals for both Chemokine Corp. and Chemokine B.C. were accepted by the creditors.  Applications will be made to the court, at 800 Smithe Street, Vancouver, British Columbia, on the February 4, 2009, at 11:30 am to approve the Proposals of both Chemokine Corp. and Chemokine B.C.

February 4, 2009 – By order of the Supreme Court of British Columbia, the Proposals of both Chemokine Corp. and Chemokine B.C. were approved.

April 30, 2009 – Sale of assets – On March 11, 2009, the Supreme Court of British Columbia (“Canadian Court”) granted an order approving the sale of the following assets of Chemokine:

(a) CTCE-0214, CTCE-9908, CTCE-0324, CTCE-0422, CTCE-0501 and all other compounds designed, studied, manufactured, possessed, or owned;
(b) all intellectual property and all additional proprietary rights and interests of the Vendor existing in whichever form to, or associated thereto; and
(c) all of the Vendor’s right, title, and interest in and to the license agreement between the Vendor and the University of British Columbia dated September 22, 1999, as amended and the license granted therein.

The transaction closed on April 30, 2009.

April 30, 2009 – U.S. Chapter 15 proceedings – The Trustee under the Proposal filed a Chapter 15 petition in the United States Bankruptcy Court for the District of Delaware (“U.S. Court”).  The Trustee also sought recognition of the March 11, 2009 order of the Canadian Court confirming the sale of certain of assets of Chemokine.  On April 6, 2009, the US Court granted an Interim Order with an automatic stay against creditors.  On April 28, 2009, the US Court granted an Order with a permanent stay against creditors and an Order recognizing the March 11, 2009 order of the Canadian Court confirming the sale of certain assets of Chemokine.
