On June 12, 2020, each of the Companies filed its proposal with Artiva and LiveWell filing a joint proposal.  On August 26, 2020, each of the Companies filed amended proposals. On August 28, 2020, votes were conducted for each of the proposals.  The proposal of Vitality and the joint proposal of Artiva and LiveWell passed while the proposal of Eureka failed.  As a result, Eureka is deemed bankrupt and the Official Receiver issued a Certificate of Assignment in respect of Eureka effective August 28, 2020.  On October 5, 2020, based on the Court’s determination of an appeal of a disallowed claim, the proposal of Vitality failed and the Official Receiver issued a Certificate of Assignment in respect of the bankruptcy of Vitality on October 8, 2020.  On November 13, 2020, the Court approved the Joint Proposal of Artiva and LiveWell as well as the Arrangement as contemplated in the Joint Proposal.
